6. Shipping and Delivery

Peptora Labs ships to eligible destinations made available during checkout.

Customers are responsible for providing a complete and accurate shipping address.

To the extent permitted by applicable law, risk of loss and title to products pass in accordance with the applicable carrier and shipping terms.

12. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE THAT RESEARCH PRODUCTS REQUIRE APPROPRIATE PROFESSIONAL HANDLING, STORAGE, AND LABORATORY PROCEDURES.

PEPTORA LABS SELLS PRODUCTS INTENDED SOLELY FOR LEGITIMATE LABORATORY RESEARCH AND NOT FOR HUMAN OR ANIMAL USE.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ASSUME THE RISKS ASSOCIATED WITH YOUR PURCHASE, POSSESSION, STORAGE, HANDLING, AND USE OF PRODUCTS, INCLUDING RISKS ARISING FROM IMPROPER STORAGE, HANDLING, CONTAMINATION, DEGRADATION, UNAUTHORIZED USE, OR USE INCONSISTENT WITH THESE TERMS.

Nothing in these Terms excludes liability or rights that cannot legally be excluded or waived.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

PEPTORA LABS DISCLAIMS, TO THE EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, PEPTORA LABS DOES NOT WARRANT THAT:

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEPTORA LABS AND ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, PRODUCTS, OR INFORMATION PROVIDED THROUGH PEPTORA LABS.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, PROPERTY DAMAGE, OR OTHER COMMERCIAL OR PERSONAL LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPTORA LABS’ TOTAL AGGREGATE LIABILITY FOR A CLAIM RELATING TO A PRODUCT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO PEPTORA LABS FOR THE PRODUCT GIVING RISE TO THAT CLAIM.

These limitations apply regardless of the theory of liability, except where a limitation or exclusion is prohibited by applicable law.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Peptora Labs and its owners, members, officers, directors, employees, contractors, agents, and affiliates (collectively, the “Indemnified Parties”) from claims, demands, actions, damages, liabilities, judgments, settlements, fines, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:

Peptora Labs reserves the right to assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.

16. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration: To the extent permitted by applicable law, disputes, claims, or controversies arising out of or relating to these Terms, your use of the Website, your account, or products purchased from Peptora Labs shall be resolved through final and binding arbitration administered by the American Arbitration Association (“AAA”) pursuant to the applicable AAA rules.

Unless otherwise required by applicable law or agreed by the parties, arbitration shall be conducted by a single arbitrator in the State of Wyoming or through a mutually agreed remote proceeding.

Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AND PEPTORA LABS AGREE THAT DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.

Small Claims Exception: Either party may bring an eligible individual claim in small claims court.

Injunctive Relief: Nothing in this section prevents Peptora Labs from seeking temporary, preliminary, or permanent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect intellectual property, confidential information, Website security, or against other irreparable harm.

TO THE EXTENT ENFORCEABLE UNDER APPLICABLE LAW, YOU ACKNOWLEDGE THAT ARBITRATION GENERALLY INVOLVES WAIVING THE RIGHT TO A JURY TRIAL.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable federal law or another jurisdiction’s mandatory consumer-protection law controls.

To the extent a dispute is not subject to arbitration and venue may legally be specified by these Terms, proceedings shall be brought in a court of competent jurisdiction in Wyoming.

18. Changes to Terms

Peptora Labs may modify these Terms from time to time.

Changes will become effective upon posting to the Website or on another date identified with the updated Terms. Where required by applicable law, we will provide additional notice or obtain consent.

20. Waiver

Failure by Peptora Labs to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

Any waiver must be authorized in writing by Peptora Labs.

21. Entire Agreement

These Terms, together with the Peptora Labs Privacy Policy, Returns & Refunds Policy, disclaimers, applicable Program terms, and other policies expressly incorporated by reference, constitute the agreement between you and Peptora Labs regarding your use of the Website and purchase of products.

They supersede prior or contemporaneous communications or representations concerning the same subject matter.
